Terms of Use

1. Acceptance and Eligibility
These Terms of Use ("Terms") govern your access to and use of the SHEALTH.AI platform, including all associated software, APIs, mobile applications, and services (collectively, the "Platform"). By logging in or otherwise accessing the Platform, you confirm that:
- You are authorized by your organization to use the Platform
- You will use the Platform only for lawful, clinical, or operational purposes
- You are at least 18 years of age and have the legal capacity to enter into this agreement
2. Intellectual Property
Customer organizations retain ownership of their data — including all patient records, imaging files, reports, and clinical information uploaded to the Platform. SHEALTH.AI retains exclusive ownership of its software, algorithms, AI models, machine learning weights, user interface designs, branding, and all other intellectual property.
No rights or licenses to SHEALTH.AI's intellectual property are transferred to you except the limited right to access and use the Platform during your active subscription period, as expressly granted in your service agreement.
3. AI-Generated Outputs and Clinical Disclaimer
AI outputs are decision-support tools only. They do not constitute medical advice, diagnosis, or treatment.
All AI-generated findings, annotations, measurements, and suggestions produced by SHEALTH.AI are intended solely to assist qualified healthcare professionals in their clinical workflow. They must not be used as a substitute for independent professional judgment.
All clinical decisions — including diagnosis, treatment planning, and patient management — remain the sole responsibility of the qualified healthcare professionals using the Platform. SHEALTH.AI makes no warranty that AI outputs are accurate, complete, or suitable for any specific clinical purpose.
4. User Responsibilities
As a user of the Platform, you are responsible for:
- Ensuring all data submitted has the necessary patient consents, authorizations, and legal permissions under applicable law (HIPAA, GDPR, DISHA, etc.)
- Maintaining the confidentiality of your login credentials and promptly reporting any unauthorized access to your administrator
- Using the Platform only within the scope of your assigned role and organizational policies
- Not attempting to reverse-engineer, decompile, or extract underlying models or algorithms
- Complying with all applicable healthcare, privacy, and data protection laws in your jurisdiction
5. Limitation of Liability
To the maximum extent permitted by applicable law, SHEALTH.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:
- Reliance on AI-generated outputs for clinical decisions
- Unauthorized access to your account due to credential misuse
- Interruptions to service due to maintenance, infrastructure failures, or force majeure events
- Data loss resulting from user error or actions outside of SHEALTH.AI's control
SHEALTH.AI's total cumulative liability shall not exceed the amounts paid by your organization in the three months preceding the claim, except where prohibited by law.
6. Prohibited Use
You agree not to:
- Use the Platform for any purpose that violates applicable laws or regulations
- Share, resell, or sublicense access to the Platform to unauthorized parties
- Upload data you do not have legal authority to process on the Platform
- Attempt to probe, scan, or test the vulnerability of any SHEALTH.AI system
- Introduce malicious code, viruses, or disruptive data into the Platform
7. Updates to These Terms
SHEALTH.AI reserves the right to update these Terms at any time. Material changes will be communicated via the Platform or to the organization's designated contact at least 14 days before they take effect. Continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.
If you do not agree to updated Terms, you must discontinue use of the Platform and notify your organization's administrator.
